Majority of Minority (MoM) Protections

Under Delaware MFW framework (Kahn v. M&F Worldwide), controlling buyout sponsors (like private equity sponsors taking listed subsidiaries private) must condition deals on both independent Special Committee approval and an uncoerced majority-of-the-minority shareholder vote to obtain business judgment review. This gives small activist coalitions outsized veto leverage over multi-billion dollar transactions.
